1. Introduction

Welcome to Monerry. These Terms of Use ("Terms") constitute the End User License Agreement (EULA) and govern your use of the Monerry mobile application and related services (collectively, the "Service") operated by Monerry Kft., a company registered in Hungary under Hungarian law ("Monerry," "we," "us," or "our").

By accessing or using our Service, you agree to be bound by these Terms. If you disagree with any part of these terms, then you may not access the Service.

2. Description of Service

Monerry is a comprehensive asset tracking application that allows users to monitor and analyze their investment portfolios, including stocks, cryptocurrencies, commodities, real estate, collectibles, and cash holdings. Our Service includes AI-powered insights, price targets, news curation, and portfolio analysis features.

3. User Accounts and Eligibility

3.1 Eligibility: You must be at least 18 years old to use our Service. By using the Service, you represent and warrant that you meet this age requirement.

3.2 Account Registration: To access certain features, you may need to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3.3 Account Security: You agree to notify us immediately of any unauthorized use of your account or any other breach of security.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the Service for any unlawful purpose or to solicit others to perform illegal acts
• Violate any applicable laws or regulations
• Interfere with or disrupt the Service or servers or networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Use the Service to transmit any harmful, threatening, abusive, or defamatory content
• Reverse engineer, decompile, or disassemble any part of the Service

5. Intellectual Property Rights

5.1 Our Content: The Service and its original content, features, and functionality are and will remain the exclusive property of Monerry Kft. and its licensors. The Service is protected by copyright, trademark, and other laws.

5.2 Your Content: You retain ownership of any content you provide through the Service, such as portfolio data and personal information. By using the Service, you grant us a limited license to use this content to provide and improve our Service.

6. Privacy and Data Protection

Your privacy is important to us. Our Privacy Policy, available at monerry.com/privacy-policy, explains how we collect, use, and protect your information when you use the Service. By using the Service, you agree to the collection and use of information in accordance with our Privacy Policy.

6.1 App Tracking Transparency (iOS): For iOS users, Monerry collects usage data and diagnostics to improve your financial insights and app experience, including performance metrics, feature usage, and crash reports. This data collection is subject to Apple's App Tracking Transparency (ATT) framework. You will be prompted to allow or deny tracking when you first use the app. You can change your tracking preferences at any time in your device's Privacy & Security settings.

7. Financial Information Disclaimer

7.1 Not a Regulated Financial Service: Monerry Kft. does not provide regulated financial services and is not authorised or regulated by any regulatory body. We are a technology company providing portfolio tracking and analysis tools.

7.2 Not a Broker or Exchange: Monerry is not a broker, dealer, exchange, financial institution, or investment platform. You cannot purchase, sell, transfer, deposit, withdraw, or hold financial assets through our Service. We provide information and analysis tools only.

7.3 Not Financial Advice: The information provided through our Service, including AI-generated insights and price targets, is for informational purposes only and does not constitute financial, investment, or trading advice.

7.4 AI Analysis Limitations: We have no control or oversight over what the AI will generate for you. AI analysis is for informational purposes only. AI can make mistakes and provide inaccurate information. Always verify data and consult with financial professionals before making investment decisions.

7.5 Investment Risks: All investments carry risk, and past performance does not guarantee future results. You should consult with qualified financial advisors before making investment decisions.

7.6 Data Accuracy: While we strive to provide accurate information, we cannot guarantee the accuracy, completeness, or timeliness of the data provided through our Service.

8. Subscription, In-App Purchases, and Payment Terms

8.1 Premium Subscription Pricing:

• Monthly subscription: $6.99 USD (prices may vary by region)
• Annual subscription plans may also be available with different pricing
• We may offer free trial periods for new users (availability and duration may vary)
• Payment processed through Apple App Store (iOS) or Google Play Billing (Android)

8.2 Important Billing Information:

• You will NOT be charged during any free trial period (if applicable)
• First charge occurs after trial ends (timing varies based on trial duration offered)
• Subscription automatically renews at the end of each billing period (monthly or annually) unless cancelled
• Cancel anytime during trial period to avoid charges (if trial is available)

8.3 How to Cancel:

• iOS: Settings > [Your Name] > Subscriptions > Monerry > Cancel Subscription
• Android: Google Play Store > Menu > Subscriptions > Monerry > Cancel
• Must cancel at least 24 hours before trial/period ends

8.4 Automatic Renewal: Your account will be charged for renewal within 24 hours prior to the end of the current billing period (monthly or annual) at the cost of the chosen subscription plan.

8.5 Forfeiture of Trial: Any unused portion of a free trial period (if applicable) will be forfeited when purchasing a subscription before the trial period ends.

8.6 Refunds: Refunds are subject to the applicable app store's refund policy (Apple's refund policy for iOS users, Google Play's refund policy for Android users) and applicable law. Fees are generally non-refundable except as required by applicable law or the respective app store's terms.

8.7 In-App Purchase Credits: In addition to subscriptions, users can purchase AI Credits through in-app purchases:

• 100 AI Credits: $39.99 USD
• 300 AI Credits: $99.99 USD
• 700 AI Credits: $177.99 USD
• Prices may vary by region and are subject to local taxes

8.8 In-App Purchase Terms:

• Credits are added to your account immediately after purchase
• Credits do not expire
• Credits are consumable digital goods and are non-refundable once used
• All purchases are final and non-refundable
• Expired promotional credits are automatically removed and cannot be restored
• Credits have no cash value and cannot be refunded, exchanged, or transferred

8.9 Promotional Codes: We may distribute promotional codes that provide free credits. Current promotional codes and their terms:

• MONY2W7RD - 100 Credits (expires: December 31, 2025)
• Promotional codes are subject to availability and may be limited in quantity
• Each promotional code can only be redeemed once per account
• Promotional credits cannot be combined with other offers unless specifically stated
• Promo codes cannot be combined with other offers unless specified
• Promotional credits may have expiration dates and must be used before expiry

9. Mobile Application License

9.1 License Grant: Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Monerry mobile application on your personal devices solely for your personal, non-commercial use.

9.2 Restrictions: You may not: (a) copy, modify, or create derivative works of the app; (b) reverse engineer, decompile, or disassemble the app; (c) remove any proprietary notices; (d) use the app for any commercial purpose; or (e) distribute, license, or sell the app.

9.3 App Store Terms: Your use of the mobile application is also subject to the terms and conditions of the applicable app store (Apple App Store, Google Play Store, etc.) from which you download the app. For Apple users, this license is limited to a non-transferable license to use the App on any Apple-branded products you own or control. Usage must comply with the applicable App Store Terms of Service. The App may not be used on devices you do not own or control.

9.4 Updates: We may provide updates to the mobile application from time to time. You agree to accept such updates, which may be automatically downloaded and installed on your device.

10. Limitation of Liability

To the maximum extent permitted by law, Monerry Kft. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service.

11. Indemnification

You agree to defend, indemnify, and hold harmless Monerry Kft. and its officers, directors, employees, and agents from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including attorney's fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach the Terms. Upon termination, your right to use the Service will cease immediately.

13. Governing Law and Jurisdiction

These Terms shall be interpreted and governed by the laws of Hungary and the European Union. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of Hungary.

14. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website and updating the "Effective Date" at the top of this document. Your continued use of the Service after any changes indicates your acceptance of the new Terms. These Terms work together with our Privacy Policy, available at monerry.com/privacy-policy, to govern your use of our Service.

15. General Provisions

15.1 Severability: If any provision of these Terms is found invalid, the remaining provisions continue in full force and effect.

15.2 Entire Agreement: These Terms and our Privacy Policy, available at monerry.com/privacy-policy, constitute the entire agreement between you and Monerry Kft. regarding your use of the Service.

16. Apple-Specific Terms

For users who download the App from Apple App Store:

16.1 Acknowledgment: These Terms are concluded between you and Monerry Kft. only, not with Apple Inc. ("Apple"). Monerry, not Apple, is solely responsible for the App and its content.

16.2 Apple's Non-Liability: Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App. Apple is not responsible for any product warranties, product liability claims, or any claim that the App fails to conform to applicable legal or regulatory requirements.

16.3 Third-Party Claims: Monerry, not Apple, is responsible for addressing any claims relating to the App or your possession/use of the App, including intellectual property infringement claims.

16.4 Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance, Apple will have the right to enforce these Terms against you as a third-party beneficiary.

16.5 Export Restrictions: You may not use or export the App except as authorized by United States law and the laws of the jurisdiction in which the App was obtained.

17. Google Play Store-Specific Terms

For users who download the App from Google Play Store:

17.1 Acknowledgment: These Terms are concluded between you and Monerry Kft. only, not with Google LLC ("Google"). Monerry, not Google, is solely responsible for the App and its content.

17.2 Google's Non-Liability: Google has no obligation whatsoever to furnish any maintenance and support services with respect to the App. Google is not responsible for any product warranties, product liability claims, or any claim that the App fails to conform to applicable legal or regulatory requirements.

17.3 Third-Party Claims: Monerry, not Google, is responsible for addressing any claims relating to the App or your possession/use of the App, including intellectual property infringement claims.

17.4 Google Play Terms: Your use of the App is subject to Google Play's Terms of Service, which can be found at https://play.google.com/about/play-terms/. In case of conflict between these Terms and Google Play's Terms of Service, Google Play's Terms of Service shall prevail with respect to your use of the App.

17.5 Content Policies: The App and your use thereof must comply with Google Play's Developer Program Policies as may be updated from time to time and available at https://play.google.com/about/developer-content-policy/.

18. Third-Party Services

The App uses third-party services including but not limited to Google Analytics, Cloudflare, and AI service providers. These services have their own terms and privacy policies. We are not responsible for the practices of these third parties.
